Mergers and acquisitions, capital and debt: where to start
What buying, selling, raising capital or financing with debt involves, and how to prepare for better terms.
Growing, buying a competitor, bringing in a partner or financing an expansion almost always involve three topics: mergers and acquisitions (M&A), capital and debt. Understanding them before you sit down to negotiate changes the outcome.
Mergers and acquisitions (M&A)
This includes buying a company, selling yours or merging with another. For a mid-sized company, what matters most is not the contract but the preparation: organized financial information, a clean income statement, a defensible valuation and clarity on what is and is not for sale.
- If you are buying: define the strategic goal, review earnings quality and hidden liabilities, and plan the integration before closing.
- If you are selling: prepare your information early; a company with reliable numbers negotiates from a stronger position.
Raising capital
Bringing in partners or investors in exchange for ownership. It makes sense when growth needs more resources than the business generates, and when the owner accepts sharing control and decisions. Before approaching investors you need a credible financial model, clear indicators and a coherent story of how the money will be used.
Debt and credit
Financing with debt preserves ownership but commits cash. The key question is whether the company’s cash flow supports the payments in a conservative scenario, not only an optimistic one. Compare terms, rates, collateral and conditions, and match the type of credit to its use: working capital, investment or acquisition.
How to choose between equity and debt
- How much control am I willing to share?
- Does my cash flow support fixed payments if sales fall?
- Does the project return enough to justify the cost of financing?
- How quickly do I need the funds?
